Institutional Governance & Board Directory

Transparent, democratic leadership dedicated exclusively to the public interest, non-commercial stewardship, and statutory accountability under the French Law of 1901.

Democratic Structure & Non-Profit Integrity

The association Les Amis de Bois Richeux is governed in strict adherence to its foundational statutes registered with the Prefecture of Eure-et-Loir under RNA identification number W281003093 and SIREN enterprise register 483882544. Our institutional model is rooted in democratic citizen participation, collegial decision-making, and total non-commercial transparency.

Statutory Fee Reinvestment Mandate

In accordance with French non-profit statutory law, neither our board directors nor our committee officers receive salaries, dividends, attendance tokens, or material gratuities.

"All membership fees and dues are fully reinvested in the association's public interest missions."

The Three Levels of Democratic Governance

Our statutory constitution organizes executive authority and oversight across three distinct, complementary bodies to prevent concentration of power and safeguard the public interest:

1. The Sovereign General Assembly (Assemblée Générale)

Convened annually every autumn, the Ordinary General Assembly brings together all active association members, volunteer contributors, and institutional partners. Each member possesses an equal vote regardless of their level of voluntary contribution. The General Assembly reviews and votes on the Moral Report presented by the President, the Financial Balance Sheet presented by the Treasurer, and the Scientific Orientation Roadmap prepared by project leaders. Extraordinary General Assemblies can be convened at any time upon request of one-third of registered members to decide on statutory revisions or exceptional conservation acquisitions.

2. The Board of Directors (Conseil d'Administration)

Composed of nine volunteer directors elected for three-year renewable terms by the General Assembly, the Board of Directors meets quarterly to formulate policy directives, approve partnership agreements with universities and government bodies, and monitor statutory compliance. One-third of the board stands for election each year, ensuring continuous renewal balanced by institutional experience.

3. The Executive Bureau (Le Bureau)

Elected from among the Board of Directors, the Executive Bureau oversees day-to-day administrative affairs, liaison with prefectural authorities, regulatory compliance, and field coordination.

Annual Auditing Protocols and Ethical Standards

To maintain unyielding public trust, Les Amis de Bois Richeux enforces strict procedural safeguards against conflicts of interest and financial mismanagement:

  • Dual Signatory Control: All financial disbursements exceeding €500 require co-signatures from both the Treasurer and the President, with written justification linked to an approved budget item.
  • Independent Auditor Review: An external statutory auditor conducts an annual review of our ledgers, grant utilization certificates, and supplier invoices, presenting a formal certification report directly to the General Assembly.
  • Anti-Conflict-of-Interest Policy: Board members and their relatives are formally barred from bidding on commercial supply contracts or receiving remuneration for goods provided to the association.
  • Public Disclosure of Grant Justifications: Whenever public subsidies are received from the Prefecture, Region, or Department, complete completion files and receipts are submitted to the granting authorities and archived for public consultation.
